CAPITAL DISTRICT MINERAL CLUB: CONSTITUTION 

Article I Name  This organization shall be known as the Capital District Mineral Club, Inc. It shall be located in the City and County of Albany, New York. 

Article II Purpose  The purpose of this club shall be: 

Section 1 To promote and encourage the study of mineralogy and other allied sciences.

Section 2 To cooperate with educational and scientific institutions in order to bring about a better and more general understanding of earth sciences.

Section 3 To provide a program with suitable speakers, for scheduled meetings.

Section 4 To sponsor, direct, and assist in the planning of excursions to mineral localities and other places of geologic interest.

Section 5 To cooperate with organizations whose purposes are similar to those stated in the foregoing sections. 

Article III Membership  Membership shall be open to persons interested in studying and furthering the science of minerology and allied earth sciences. 

Article IV Officers  The officers of this Club shall be a President, a Vice President, a Secretary, and a Treasurer. 

Article V Board of Trustees 

Section 1 The persons named as incorporators shall constitute the first Board of Trustees, namely: Jerome F. Lapham, Kenneth P. Carr, Jean D. Carr, Mrs. Olga Pohl, and Dr. A.C. Worth, Jr.

Section 2 Each duly elected President shall become a member of the Board of Trustees for three years. The Board of Trustees shall consist of not less than five nor more than twenty-five and shall have the power to adopt by-laws. The term of office of a trustee shall be for three years. No person shall be ineligible as a trustee by reason of sex. Trustees will be elected by a three-fourths vote of the Board of Trustees.

Section 3 The Board of Trustees shall have an annual meeting following within not more than one month, the election of officers for the purpose of electing one of its members as Chairman of the Board by a three-fourths vote of the board members; and in his absence the senior trustee will act as Chairman. Seniority shall be according to the order in which the trustees are named in the Chapter and subsequently elected.

Section 4 Notice of meetings of the Board of Trustees shall be mailed not less than five or more than ten days before the meeting to the usual address of such trustees or a demand by three-fourths of the members of the Board of Trustees can call a meeting of the Board of Trustees.

Section 5 The term of office of any trustee shall become vacant on his death, resignation, refusal to act, removal from office, or expiration of his or her term or any cause contrary to law or the Charter. If a trustee fails to attend three consecutive meetings without accepted excuse satisfactory to the trustees he or she will be deemed resigned.

Section 6 That Law Pamphlet, Incorporation of Educational Institutions by the Regents be adopted and included as a part of the Constitution as it may apply or be revised.

Section 7 The Board of Trustees shall be the governing body of the Club and shall have the power to fill a vacancy in any office.

Section 8 - The Board of Trustees shall have general charge of all affairs, funds, and property of the Club.

Section 9 The Commissioner of Education is designated as the representative of the Corporation.

Article VI Meetings

Section 1 Regular Meetings of the Club shall be held on the first Thursday of each month, except during the summer.

Section 2 Officers shall be elected at the first regular meeting in January following a report by a committee on nominations to be made at the meeting in December.

Section 3 Special meetings of the Club may be called by the President, or at the request of the Board of Trustees, or upon written request of not less than a majority of the Club members.

Section 4 Notices of a special meeting, in writing, shall state time, place, and purpose of the meeting; they should be mailed to all members at least one week before the designated meeting.

Section 5 Notices for a meeting to consider amending this Constitution or by-laws shall be given at least one month before the designated meeting; such notices shall be accompanied by a complete statement describing the nature of the proposed amendment.

Section 6 A quorum at any meeting is a majority of all members present and voting, with a minimum number of fifteen members. 

Article VII Amendments to Constitution  Any Article, Section, or Provision of this Constitution may be altered, amended, supplemented, or replealed by the affirmative vote of two-thirds of the members of the Club present and voting at any meeting, provided that the proposed change shall first be stated, in writing, to each member of the Club at least thirty days prior to the designated meeting at which such change is to be voted upon.
